Special Executive Committee Meeting, July 29, 2005
The Committee was called to order by the Rector, Mona Albertine, at 9:31 a.m. Three members, Ms. Albertine, Ms. Radley, and Mr. Poole were present in person. Two members, Mr. Thompson and Ms. Sauder participated by telephone. Also present were President William Anderson, Executive Assistant to the President, Ranny Corbin, and Jack Knight, UMW’s counsel in the Office of the Attorney General.
Rector Albertine explained that the purpose of the meeting was to amend the Restructuring Resolution passed by the Board of Visitors at the July retreat to comply with the provisions of the Restructuring Act. This act was adopted in February of 2005 by the Virginia General Assembly and signed by the Governor.
She noted that in order for UMW to be included in the program, the resolution passed by the Board needed some amended language to be acceptable to the Commonwealth. All members of the Executive Committee had previously received a draft of the amended resolution with the list of the Goals of the Commonwealth attached. Mr. Thompson questioned one Goal – #8 – that referred to research and wondered if that provision was not in conflict with UMW’s stated mission. Dr. Anderson explained that it did not apply to UMW since the goal includes the phrase “Consistent with its institutional mission.”
The Rector then read the amended resolution. Ms. Radley moved the adoption of the Restructuring Resolution, seconded by Mr. Poole. The Secretary then called the roll with each of the five members voting Aye. A copy of the resolution is attached to these minutes.
Dr. Anderson announced that Marion Blakey, head of the Federal Aviation Administration and 1970 alumnae, has finally been able to accept UMW’s invitation to be commencement speaker and will give the address at Commencement 2006.
There being no further business, the Committee adjourned at approximately 9:45 a.m.
